Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Shalaya website, mobile experience, platform and related services (the "Platform").

The Platform is operated by Shalaya Pte. Ltd., a company incorporated in Singapore ("Shalaya", "we", "us" or "our").

By accessing or using the Platform, creating an account, browsing listings, making a booking or participating in any Shalaya-related experience, you agree to these Terms. If you do not agree, you must not use the Platform.

These Terms should be read together with our Privacy Policy, Cancellation and Refund Policy, Professional Terms where applicable, and any waiver or participation terms applicable to a specific experience.

1. Introduction

Shalaya helps yogi students discover, compare, request, book and pay for yoga-related experiences offered by yoga professionals.

These experiences may include classes, workshops, masterclasses, retreats, yoga teacher trainings, wellness events and community sessions.

From time to time, Shalaya may sponsor, host, curate or make available complimentary, promotional, member-only or community experiences. These may be subject to additional waivers or participation conditions.

2. Shalaya as a Marketplace

Shalaya is a technology platform and marketplace. Unless expressly stated otherwise, Shalaya does not itself provide yoga classes, retreats, teacher trainings, workshops, masterclasses, wellness services, travel services, accommodation, medical services or healthcare advice.

Yoga experiences listed on the Platform are offered and delivered by independent yoga professionals, including yoga teachers, studios, wellness centres, retreat organisers, workshop organisers and Yoga teacher training organisers ("Yoga Professionals").

Unless expressly stated otherwise:

  • the contract for the yoga experience is between the yogi student and the relevant Yoga Professional;
  • the Yoga Professional is responsible for delivering the experience;
  • Shalaya does not employ, control or supervise Yoga Professionals;
  • Shalaya does not own or operate studios, retreat venues, accommodation or training schools listed on the Platform; and
  • Shalaya does not guarantee that a specific experience, teacher, venue, price, schedule or availability will remain available.

Shalaya may curate listings, facilitate payments, assist with communications, moderate reviews and take steps to improve trust and safety. This does not make Shalaya the provider or guarantor of any yoga experience.

3. Account and Eligibility

You must be at least 18 years old to create an account or make a booking on the Platform.

Minors may only participate in a yoga experience where the listing expressly allows it and where the booking is made by a parent or legal guardian, or with prior written consent from a parent or legal guardian.

Shalaya and/or the relevant Yoga Professional may require parental consent, health declarations, waivers, emergency contact details or other participation conditions before allowing a minor to participate.

You agree to provide accurate, current and complete information when using the Platform. You are responsible for keeping your login details secure and for all activity under your account.

Shalaya may suspend or terminate an account where we reasonably believe that a user has breached these Terms, provided inaccurate information, misused the Platform, created risk for others or acted unlawfully or in bad faith.

4. Bookings and Payments

A booking is confirmed only once the booking process is completed and confirmation is issued through the Platform.

By making a booking, you agree to:

  • these Terms;
  • the applicable Cancellation and Refund Policy;
  • any specific terms shown in the listing;
  • any house rules, waiver or participation conditions of the Yoga Professional or venue; and
  • any health, travel, age, level or eligibility requirements stated in the listing.

Unless expressly stated otherwise at checkout, the price payable by a yogi student on Shalaya should be the same public price offered by the Yoga Professional for the same experience through its own direct booking channel.

Payments are processed securely through Stripe or another third-party payment provider appointed by Shalaya.

Details relating to payouts, taxes, GST, Stripe processing and chargebacks are set out in the Professional Terms.

Shalaya may refuse, cancel or reverse a booking where we reasonably believe there has been an error, fraud, abuse, payment failure, safety risk, breach of these Terms, regulatory concern or misuse of the Platform.

5. Cancellations and Refunds

Cancellations, refunds, late cancellations, no-shows, late arrivals, professional cancellations, retreats, workshops, yoga teacher trainings and exceptional cases are governed by our separate Cancellation and Refund Policy and any specific cancellation terms shown in the relevant listing.

The applicable cancellation terms should be displayed before booking and form part of the booking terms.

Unless required by applicable law or expressly stated otherwise, Shalaya platform fees and payment processing fees may be non-refundable.

Shalaya may, at its discretion, approve a refund where we consider it fair, appropriate or necessary, including in cases of error, duplicate payment, serious complaint, safety issue, platform failure or exceptional circumstances.

6. Health and Safety

Yoga, movement, breathwork, meditation, wellness activities, retreats, travel and related experiences may involve physical, mental or emotional risk. By booking or participating in a yoga experience, you confirm that:

  • you participate voluntarily;
  • you are responsible for assessing whether the experience is suitable for your level, body, health and personal circumstances;
  • you will not participate if you are unwell, injured or medically advised not to do so;
  • you will inform the Yoga Professional of any relevant injury, pregnancy, medical condition, limitation, allergy or concern before participating;
  • you will stop immediately if you feel pain, dizziness, shortness of breath, discomfort or distress; and
  • you understand that participation may involve risk of injury, illness, loss or damage.

Shalaya does not provide medical advice, diagnosis, treatment, physiotherapy, mental health advice or healthcare services. Nothing on the Platform should be treated as medical advice.

If you have any health concern, injury, pregnancy, medical condition or doubt about your ability to participate, you should consult a qualified healthcare professional before booking or attending an experience.

Complimentary, promotional, member-only or community experiences may require a separate waiver before participation.

7. Yoga Professionals and Third-Party Services

Yoga Professionals are responsible for the accuracy, quality, safety and delivery of their listings and yoga experiences.

Yoga Professionals must ensure that their listings are accurate, complete, current and not misleading, including details on price, location, schedule, level, inclusions, exclusions, cancellation terms and any important health, travel or participation requirements.

Yoga Professionals are subject to the separate Professional Terms, which cover professional obligations, commissions, pricing parity, taxes, GST, payouts, Stripe processing, chargebacks, cancellation responsibilities, insurance, qualifications and no off-platform solicitation.

Yoga Professionals must not use Shalaya to solicit, redirect or encourage users to complete bookings, payments or repeat bookings outside the Shalaya Platform for experiences first discovered, requested, booked or introduced through Shalaya, except with Shalaya's prior written consent.

Some yoga experiences may involve third-party venues, accommodation, transport, equipment, travel providers or external services. Shalaya is not responsible for third-party services, policies, acts, omissions, availability, safety or charges, except where required by law or expressly stated otherwise.

8. Reviews and Content

Users may submit reviews, ratings, comments, images, messages, profile information or other content through the Platform ("User Content").

You are responsible for your User Content. You must ensure that it is accurate, lawful, respectful, not misleading, not defamatory, not abusive, not discriminatory and does not infringe third-party rights.

You grant Shalaya a worldwide, non-exclusive, royalty-free licence to use, display, reproduce, edit, publish and promote your User Content in connection with the Platform, marketing, customer support, trust and safety, and business operations.

Shalaya may moderate, edit, reject, remove, hide or restrict User Content where we consider it inaccurate, harmful, unlawful, promotional, fraudulent, abusive or inconsistent with our standards.

Yoga Professionals must not create fake reviews, pressure yogis to leave positive reviews, offer incentives for misleading reviews or retaliate against yogis for honest feedback.

9. Platform Use and Prohibited Conduct

You must use the Platform lawfully, honestly and respectfully. You must not:

  • use the Platform for unlawful, fraudulent, harmful or misleading purposes;
  • provide false or misleading information;
  • misuse payments, refunds, promotions or rewards;
  • harass, abuse, threaten or discriminate against another user;
  • create fake accounts, fake bookings, fake reviews or manipulated ratings;
  • scrape, copy, crawl, reverse engineer or commercially exploit the Platform without permission;
  • interfere with the security, functionality or availability of the Platform;
  • upload viruses, malware or harmful code;
  • impersonate another person or entity;
  • infringe intellectual property, privacy or other rights;
  • use the Platform to build or support a competing service without permission; or
  • breach any applicable law or regulation.

Shalaya may remove content, cancel bookings, restrict access, suspend accounts or take other reasonable action where we believe these Terms have been breached.

10. Liability and Disclaimers

To the fullest extent permitted by applicable law, the Platform and all content, listings, features, recommendations and services are provided on an "as is" and "as available" basis. Shalaya does not warrant that:

  • the Platform will be uninterrupted, secure or error-free;
  • listings will always be accurate, complete or current;
  • a yoga experience will meet your expectations;
  • a Yoga Professional will be suitable for your personal needs;
  • any particular outcome, benefit, transformation, health result or certification outcome will be achieved; or
  • any yoga experience will be free from risk, injury, illness, delay, cancellation or disappointment.

To the fullest extent permitted by applicable law, Shalaya is not liable for:

  • acts, omissions, cancellations, delays, failures, injuries, losses or misconduct of any Yoga Professional, venue, organiser, host or third-party provider;
  • indirect, incidental, special or consequential losses;
  • loss of income, revenue, profit, goodwill, opportunity, data or business;
  • travel costs, accommodation costs, visa costs, transport costs, personal expenses or missed connections;
  • payment processor failures, chargebacks, banking delays or third-party service failures;
  • property damage; or
  • events beyond our reasonable control, including weather, natural disaster, illness, government action, border closure, transport disruption, venue closure, technology failure or other force majeure events.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

11. Privacy

Shalaya collects, uses, discloses and protects personal data in accordance with our Privacy Policy.

By using the Platform, you acknowledge that your personal data may be processed as described in the Privacy Policy, including where necessary to create your account, facilitate bookings, process payments, communicate with Yoga Professionals, provide customer support, prevent fraud, improve safety, send marketing where permitted, conduct analytics and comply with legal obligations.

Yoga Professionals may receive certain yogi personal data where necessary to fulfil a booking. Yoga Professionals must use such data only for the relevant booking and must not use it for unrelated marketing unless separate valid consent has been obtained.

12. Governing Law and Singapore Jurisdiction

These Terms are governed by the laws of Singapore. Subject to any rights that cannot be excluded under applicable law, the courts of Singapore shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, the Platform or any booking.
